It's the former. I had actually completely forgotten about the latter, the second "notch" into second gear...either breaking in the transmission alleviated it or I just don't notice it anymore.

Hmm, yeah I don't have the grind then. I have heard it once or twice, but I don't think it has happened to me since the first month I had the car. It might be clutch position related? My transmission is super notchy going into second, though.

its much easier to grind 1-2 in my M Roadster, than a Z4 2.5i

you have to make sure you push the clutch all the way down.

If you want gear grind try a Honda S2000.

I used to have gear grinding problems in my 2002-2003 S2000s but with my M Roadster I have 0 problems.
